Payment and Fees

  • Users who subscribe to paid services provided by StratGeek ("Paid Customers") shall pay the Company the fees ("Fees") on a subscription basis as specified on the StratGeek website from time to time.

  • The Fees are payable in advance on a [monthly/quarterly/annual] basis and are non-refundable unless otherwise explicitly provided for in these Terms.

  • All billing and payment transactions will be conducted in INR. Paid Customers are responsible for paying any applicable taxes, including but not limited to sales, use, excise, value-added, goods and services, consumption, and other similar taxes or duties.

Refunds and Termination

  • No reimbursements shall be made for terminations mid-term during the Subscription Term for the remaining unused portion of the term, except as expressly provided in these Terms.

  • All Fees and payments are non-refundable, including in cases of termination for convenience or breach.

Subscription Term

  • The Subscription Term begins on the Effective Date and is initially set for one year or one month based on the plan ("Term"). The Term will automatically renew for consecutive one-year terms or one-month terms ("Renewal Term") on the anniversary date of the Effective Date.

  • Either party may terminate the Renewal Term with written notice at least thirty (30) days before the renewal date. No termination for convenience is allowed by the Paid Customer.

Early Termination

The Subscription may terminate earlier than the expiry of the Term if:

  • Either party fails to cure a material breach within thirty (30) days after receiving written notice.

  • The other party initiates bankruptcy or reorganization proceedings, or becomes subject to involuntary proceedings that are not dismissed or stayed within sixty (60) days.

Consequences of Termination

  • Upon termination of the Agreement, both parties shall promptly return or, at the other party's request, destroy (and provide confirmation of such destruction) all Confidential Information, including Customer Data, except for data retention mandated by applicable laws.

  • The Customer shall cease using the Solutions immediately upon termination, and access to Customer Accounts will be disabled.

  • All payment obligations accrued up to the date of termination shall survive termination. Advance payments are non-refundable in case of termination due to the Customer's breach.

Suspension of Services

  • The Company may, at its sole discretion, suspend the subscription of the Customer if the Customer breaches this Agreement or if any Subscription Fees remain unpaid.

  • The Company will notify the Customer at least 30 days before suspension, and the parties will attempt to resolve concerns within 30 days. If not resolved, the Company may, at its sole discretion, terminate the subscription.

Limitation of Liability

StratGeek and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Termination of Services

StratGeek reserves the right to terminate or suspend your access to the services at any time, without notice, for conduct that we believe violates these terms or is harmful to other users or to us.
